PRICES
AXIS Furniture, Inc. pricing reflects designer net.  Net pricing is available only to accredited designers with valid resale licenses.  Pricing is freight on board (F.O.B.) Los Angeles and does not include tax, crating, handling, insurance, storage, shipping, assembly or installation. Price changes are subject to a thirty (30) day written notification to the showrooms

ORDERS
All orders must be submitted in writing.  Order confirmations supersede all previous written and verbal communication.  Customers are asked to review the invoice acknowledgement carefully and notify AXIS Furniture, Inc. (hereafter referred to as AXIS) immediately of any discrepancies.

Final invoicing may include additional cartoning, freight and insurance charges.  All balances must be submitted to AXIS prior to shipping.  Orders must be picked up within three (3) weeks after completion date stated on the final invoice.  Weekly storage and handling costs apply thereafter.

If payment has not been received within ninety (90) days of the completion date listed on the final invoice, AXIS reserves the right to retain the merchandise and to declare a forfeiture of the Customer deposit as liquidation damages.  AXIS retains title to all merchandise until fully paid for by Customer.

RUSH ORDERS
Rush orders can be placed, subject to availablilty, for an additional percentage of the order total.  Please have your salesperson or representative call to check feasibility before placing a rush order.

LEAD TIMES
Standard lead time is 12-14 weeks for all items.  The lead time is calculated based on the receipt of purchase order and 50% deposit.  Outstanding COM/COL Application form, finish and/or drawing approvals may extend completion date.

CUSTOMIZATION
Custom sizes, materials, details and finishes are available on many AXIS pieces.  Requests can be made through your salesperson or representative.  Custom quotes are valid for thirty (30) days unless otherwise negotiated.

The charge for custom orders is as follows: drawings for approval are $300.00 per piece, finish samples to match are $120.00 per sample and frame change charges for seating or upholstery is $200 per order.

CHANGED ORDERS / CANCELLATION POLICY
All change orders or cancellation requests must be submitted to AXIS in writing within seven (7) days of the invoice date for review.  All orders cancelled after seven (7) days of the invoice date will be subject to a restocking fee of 25% of the invoice price.

Orders can not be changed or cancelled once production has begun.  Customers forfeit their 50% deposit once an order has been cancelled.

DIMENSIONS & VARIATIONS
Dimensions are given to the nearest inch.  As all pieces are handmade and assembled, measurements may vary slightly from those provided.  Finishes may vary in color, grain and texture.  Finish samples are representative and do not guarantee the final finish color.  Slight variations in design may occur from showroom sample to completed order.

U P H O L E S T R Y:  Customer Supplied Materials
Customers Own Material (COM) yardage estimates are based on 54-inch wide plain goods.  Alternate widths and pattern repeats are not reflected in these figures.  Any variation should be confirmed with your salesperson or local representative showroom.  Axis Furniture, Inc reserves the right to charge extra for special material handling and detailing.

Application of fabric including but not limited to direction, seam placement and choice of face side of fabric will be at the sole discretion of AXIS unless submitted by the Customer in writing on the AXIS COM/COL Application form.

For identification purposes, COM/COL’s must be properly sidemarked with the showroom, designer, client and item.  AXIS accepts no responsibility for unmarked materials.

Lightweight fabrics such as silks and loose woven fabric must be backed.  Axis does not assume responsibility for quality issues resulting from fabric failure such as fraying or pulling.  In order to determine if a fabric is suitable for upholstery, please send a cutting to AXIS for review.  It is the responsibility of the textile manufacturers and client to inspect all fabrics and leathers and check yardage before shipping to AXIS for upholstery.

SHIPPING

Shipments are released F.O.B. Los Angeles to the purchasers carrier in new and good condition.  Title and all risk of damage or loss transfers to the purchaser at that moment.  Axis Furniture is not liable for damage incurred in the loading, transfer or storage.

Purchaser must specify the shipping details on the written order.  If no carrier is specified, AXIS will use its judgement in selecting the best way carrier on behalf of the purchaser with no liability for such carrier.

DAMAGE / FREIGHT CLAIMS
AXIS is not responsible for damage incurred during loading, transit or storage. All furniture has been carefully inspected prior to release to the storage or delivery company.  AXIS can provide a notification of release once the delivery company has picked up from our facility.  The Customer should direct all subsequent delivery inquiries to the delivery company.  All freight claims are the responsibility of the Customer.  The Customer is responsible for filing insurance claims with the delivery company.

GUIDELINES TO FOLLOW FOR FREIGHT DAMAGE
All shipments should be inspected by the recipient upon arrival for any imperfections or visible damage.  If damage is noticed when unpacking, notify the shipping company immediately to request an inspection and include photographs clearly indicating the damage.  Shipping damage must be noted on the freight bill by the Customer before it is signed by both the shipping company and Customer.  Any claims for loss or damage should be filed directly with the shipping company making the delivery to your door.  Do not refuse to accept delivery as this may cause unnecessary shipping expense.  Do not destroy the packing materials as they must also be inspected.  Any merchandise return for damage requires first having an inspection, filed claim and freight arrangements with the shipping company.

 WARRANTY
AXIS warrants all products against defects in materials and workmanship for one year from date of receipt by Customer or receiving warehouse, whichever is sooner.  This warranty does not apply to breakage resulting from misuse, accidents, abuse, neglect, mishandling or wear resulting from normal use.  This warranty does not apply to wood products placed in direct sunlight or in environments where the year round variance of temperature is greater than 20 degrees or ambient humidity is outside the range of 25-35%.  AXIS does not warrant finishes against fading and oxidizing.  Defective products will be replaced within the normal production time period required to reorder and manufacture the same product.

Any claims against AXIS shall be submitted by the Customer in writing including photographs of the claimed defect within (7) days of receipt of delivery.  Failure to make such claim shall constitute full and unqualified acceptance of the goods and a waiver of defects or other claims.  AXIS shall not be responsible for indirect incidental or consequential damages arising from this agreement and our liability shall not exceed the AXIS invoiced value of the item.  All disputes which involve this Agreement shall be governed by the laws of California.  This Agreement contains all the terms and conditions agreed upon by Customer and AXIS Furniture, Inc.  and supercedes Customer’s purchase order.  No modification to this Agreement will be valid unless in writing and signed by both parties.
